This agreement

These terms are an agreement between you and Individual Entrepreneur Nicolas Nour Gomez Toua, registered in Georgia (identification number 305891121), Zakaria Paliashvili st. 41, Vake district, Tbilisi, Georgia ("Tessera", "we", "us") for your use of the Tessera desktop application, its runtime, this website and any related services (together, "Tessera"). By downloading, installing or using Tessera you accept these terms. If you do not accept them, do not use Tessera.

You must be at least 18 years old and able to enter a binding contract where you live. If you use Tessera for a company, you accept these terms for that company and confirm you may do so.

The beta

Tessera is in beta. It is unfinished software: features may change, break or be removed, data formats may change between versions, and the beta may end. Use a paper account while you learn it, and keep another way to see and manage your positions, such as your broker's own platform.

What Tessera is and is not

Tessera is software. It displays market data from connections you set up, helps you research and journal, and sends the orders you place or approve to the broker or trading system you connect.

Tessera is not a broker, a futures commission merchant, an introducing broker, an exchange, a commodity trading advisor or an investment adviser. We do not hold your money, execute or clear your trades, or act on your behalf. Nothing in Tessera or on this website, including anything the analyst writes, is investment advice, a recommendation or an offer to buy or sell any financial instrument.

Your orders and decisions

Every trading decision is yours. You are responsible for every order sent from Tessera on your accounts: the orders you place yourself, the drafts you approve, and any order the analyst places while you have given it Full access. You are responsible for checking each order's instrument, side, size, price, type and bracket before you send or approve it, and for the result.

Risk limits, hotkeys, brackets, breakeven, the trade copier and alerts are tools you configure. They can fail, act later than you expect or behave differently from what you intended, for example when a connection drops or a fill differs between accounts. Do not rely on them as your only protection.

The analyst and your AI provider

The analyst runs on an AI agent you provide, such as Claude Code or Codex, signed in to your own account with that provider. Your use of that agent is governed by your agreement with its provider, including its fees, limits and data terms. We are not responsible for the provider's service, availability or handling of your data.

AI output can be wrong, incomplete or out of date, and it can misread charts, levels or data. Treat what the analyst says as a draft for your judgment. By default every order it prepares waits for your approval. If you switch a session to Full access, the analyst can place, change and close orders on your accounts without asking, including live accounts; you choose that mode and you accept the risk of it.

Brokers, prop firms and data

You connect your own brokers, prop-firm accounts, market-data and level vendors. Their terms, fees, rules and exchange data agreements apply to you, and you are responsible for meeting them, including any rules of an evaluation or funded account and your professional or non-professional data status. Market data may be delayed, incomplete or wrong. Demo data in Tessera is simulated and does not reflect any real market.

Your connection credentials are stored on your Mac, in the macOS keychain. You are responsible for keeping your Mac and your accounts secure.

Your licence to use Tessera

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Tessera on Macs you own or control, under these terms. You may not resell, sublicense or redistribute Tessera; use it to break the law or the terms of a broker, exchange or data vendor; interfere with its security features; or, except where the law allows it, reverse engineer it. Tessera and its brand remain ours. Open-source components are licensed under their own licences.

Your content

Your journal, notes, layouts, indicators, research and conversations are yours. They are kept on your Mac. If we later offer an optional cloud account to sync them, its terms will be added here before it launches, and it will never sync your credentials.

Fees

The beta is free of charge TODO: confirm. If we introduce paid plans, we will publish their prices and terms before charging you anything. Fees charged by your broker, data vendors, prop firm or AI provider are between you and them.

No warranty

Tessera is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that Tessera will be uninterrupted, timely, secure or free of errors, that data shown in it is accurate, or that any order will be sent, accepted or filled as you intend.

Limitation of liability

To the fullest extent the law allows, we are not liable for any trading losses, lost profits, missed trades, slippage, or indirect, incidental, special or consequential damages arising from your use of Tessera, including losses caused by software errors, connection failures, data errors, the behaviour of an AI agent, or the actions of a broker, exchange or vendor. Our total liability for any claim relating to Tessera is limited to TODO: amount, for example the fees you paid us in the twelve months before the claim.

Nothing in these terms limits liability that cannot be limited by law, such as liability for fraud or, where applicable, death or personal injury caused by negligence.

Indemnity

To the extent the law allows, you agree to indemnify us against claims by third parties arising from your trading, your breach of these terms, or your breach of the terms of a broker, prop firm, exchange or vendor.

Ending this agreement

You can stop using Tessera at any time by uninstalling it. We may suspend or end your licence if you breach these terms or if we end the beta. The sections on your orders, the analyst, no warranty, limitation of liability, indemnity and governing law survive the end of this agreement.

Changes to these terms

We may update these terms. We will post the new version here with its date and, for material changes, tell you in the app before they apply. If you keep using Tessera after a change applies, you accept the new terms.

Governing law and disputes

These terms are governed by the laws of Georgia, and disputes will be resolved by the courts of Tbilisi, Georgia, except where the law where you live gives you the right to bring a claim locally.
